Acceptance & Eligibility

• Who you are contracting with: AdPrepare is operated by an individual proprietor based in the Republic of Korea (“AdPrepare”, “we”, “us”). Purchases are sold and invoiced by Lemon Squeezy, which acts as Merchant of Record.
• You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Service.
• By using the Service you represent that the information you provide is accurate and that you will comply with these Terms and all applicable laws.

The Service — reference tool only

• AdPrepare is an independent tool that analyzes a website against Google's publicly available AdSense and Search guidelines and returns reference estimates that flag which parts of the site may relate to which public guideline; all decisions remain with the user.
• AdPrepare is not affiliated with, endorsed by, sponsored by, or in any way officially connected to Google LLC or AdSense. “Google” and “AdSense” are trademarks of Google LLC.
• We do not guarantee AdSense approval, acceptance, ranking, traffic, or earnings. All approval decisions are made solely by Google. AI-generated results are estimates for informational purposes only and may contain errors.
• The Service does not provide legal, financial, medical, or other professional advice. YMYL-related analysis evaluates policy signals only and is not a substitute for a qualified professional.

Binding arbitration & class action waiver

Please read this section carefully — it affects your legal rights.

• Any dispute, claim, or controversy arising out of or relating to the Service or these Terms shall be resolved by final and binding individual arbitration, rather than in court, except that either party may bring an individual claim in small-claims court.
• You and AdPrepare each waive the right to a trial by jury and the right to participate in a class action, class arbitration, or any representative proceeding. Claims may be brought only in an individual capacity.
• 30-Day Opt-Out: You may opt out of this arbitration agreement by sending written notice to support@adprepare.com within 30 days of first accepting these Terms. Opting out does not affect any other provision.

Indemnification

You agree to indemnify and hold harmless AdPrepare and its operators from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right (including analyzing websites you do not own or control).

Acceptable use

• You may submit only websites that you own or are authorized to analyze. You are responsible for complying with Google's policies and all applicable laws.
• You may not abuse, reverse-engineer, scrape, overload, or attempt to gain unauthorized access to the Service, nor use it for unlawful purposes.

Payments, credits & refunds

• Paid plans and credit packs are billed through our payment processor (Lemon Squeezy), which acts as Merchant of Record.
• Credits are digital goods delivered immediately. If an AI analysis fails due to a system error, the credits for that request are automatically refunded to your balance.
• Except as required by law or as described in our Refund Policy, purchased digital credits are non-refundable once consumed. A top-up pack that is completely unused is refundable at 100% within 30 days of purchase, or 85% (15% administrative fee) after 30 days. Subscriptions may be refunded in full within 14 days of a charge with little to no usage. See the Refund Policy page for full details and how to request a refund.
• Variable credit pricing. Each tool's credit cost reflects its measured AI token usage. If a tool's actual token consumption exceeds the measured estimate, we may adjust that tool's credit cost going forward, with notice. Adjustments apply only to future runs, never retroactively to credits already used.

Privacy, governing law & changes

• Privacy: We collect only the minimum data needed to operate the Service (account info, the URLs/content you submit, and usage logs). We do not sell your personal data. You may request deletion of your data by contacting support@adprepare.com. Data is encrypted in transit and at rest.
• Governing Law: These Terms are governed by the laws of the Republic of Korea, without regard to conflict-of-law rules. Subject to the binding arbitration provision in Section 5, the Seoul Central District Court shall have exclusive jurisdiction over any dispute arising from these Terms or the Service.
• Changes: We may update these Terms from time to time. Continued use after changes become effective constitutes acceptance.

Copyright & DMCA policy

• You may submit only content and websites you own or are authorized to analyze. Do not use the Service to infringe anyone's intellectual property.
• If you believe content accessible through the Service infringes your copyright, send a notice to support@adprepare.com including: identification of the work, the URL/location, your contact information, and a good-faith statement. We will respond and remove or disable access to infringing material as appropriate.
• Repeat infringers: accounts that repeatedly infringe intellectual property rights will be terminated.

General

• Termination & suspension: We may suspend or terminate your access at any time, with or without notice, for any violation of these Terms or to protect the Service or other users.
• Changes to the Service: We may modify, suspend, or discontinue any part of the Service at any time. Credit costs may change as described in Section 8.
• Export & sanctions: You represent that you are not located in, or a national of, any country subject to U.S. embargo or on any U.S. government restricted-party list, and you will not use the Service in violation of U.S. export-control or sanctions laws.
• Time limit for claims: Any claim arising from these Terms or the Service must be filed within one (1) year after it arises, or it is permanently barred.
• Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• Force majeure: We are not liable for any delay or failure caused by events beyond our reasonable control (e.g., natural disasters, outages, third-party provider failures, government action).
• Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
• No waiver: Our failure to enforce any provision is not a waiver of our right to do so later.
• Entire agreement: These Terms (with the Privacy Policy and Refund Policy) are the entire agreement between you and AdPrepare and supersede any prior understandings.
• Electronic communications: You consent to receive notices and disclosures from us electronically (e.g., by email or in-app).
• Survival: Sections on disclaimers, limitation of liability, indemnification, arbitration, and these general terms survive termination.
